How to Set Up a Company in Hong Kong and Operate Your Business in China's Representative Office(RO) 


  
 Step one: To Set Up a HK Company 
  
 1. Introduction of HK Company set up: 
  
 Hong Kong has become the world’s eighth largest trading economy calculated in terms of total value of trade undertaken. 
 Hong Kong is the seventh biggest importer of goods and the ninth biggest exporter. This is an astonishing achievement for a territory with a population of only 6 million. 
  
 2. Advantages: 
  
 Only Hong Kong sourced income is subject to Hong Kong tax. For this reason Hong Kong is a suitable base from which to administer an offshore company without tax consequence provided that company does not do business with other Hong Kong companies. A Hong Kong company does not have to state its registered office address or place of incorporation on its letterhead. This would give the non-Hong Kong offshore company the added respectability of a Hong Kong persona combined with the added flexibility and ease of administration of an offshore company. 
  
 There are no double tax treaties and no restrictions on dealings in currencies. There is no requirement for minimum registered capital in Hong Kong company incorporation. 
  
 If you want to start your business instantly, you are suggested to buy a ready-made (shelf) company. Shelf companies are registered in the Companies Registry and therefore they have Certificate of Incorporation. The fees are almost the same as setting up a totally new company and the procedures can be completed in a few days. 
  
 Documents required: 
  
 1. Shareholder passport copy; 
 2. Application form with signature; 
  
 Procedures for Setting up the HK Company: 
  
 1. Choose an intended company name. 
  
 2. Check the intended company name 
  
 3. Submit required documents 
  
 4. Collect documents below: 
  
 As the HK Company been established, you will receive following documents: 
  
 Original Business Registration Certificate 
 Original Certificate of Incorporation 
 Original First Written Resolutions of director(s) 
 Original Appointment of first directors 
 Original Acceptance of Appointment as the Secretary 
 Original Notification of First Secretary and Director (Form D1) 
 Original Consent to Act as Director (D3) 
 Original Notification of Situation of Registered Office (R1) 
 Original Memorandum and Articles of Association 
 Blank Share Certificates 
 Company chops and 
 Company seal 
 One statutory book 
 One Green Box 
  
 Step two: To get the HK company's business license certified and the bank reference letter (This is needed for setting up the RO in china) 
  
 You need to get your HK Company's business licenses (CI & BR) certified by China Legal Service HK Ltd and get a bank reference letter from the bank where you opened the bank account of the HK company. Timing: 15days to set up a HK company, 2 weeks to get the CI & BR certified by China Legal Service HK Ltd. (5 weeks in total). 
  
 Step three: To set up The RO in China 
  
 It takes one month to set up a RO in China. 
  
 Documents required: 
  
 1. Application letter (2 originals, signed by legal person of your parent company) 
  
 2. Business license from parent company (Certified by Chinese consulate. For HK company the CR & BR need to be certified by China Legal Service Hong Kong Limited) 1 original. Please call Dada for more details and sample if necessary. 
  
 3. Bank Reference letter (2 originals, issued by bank of your parent company) 
  
 4. Parent Company brief introduction (1 original) [Business scope, telephone number, address, legal representative] 
  
 5. Leasing documents in approved building (building has been certified by Guangzhou Foreign Economic Relations and Trade Commission), 2 office leasing contracts, etc. 
  
 6. Resume of Chief Representative and passport copy, 4 passport size photos, 
  
 7. Letter of Authorization (from parent company to appoint a person to sign the related legal document during the Rep Office setting up) (2 originals) 
  
 8. Letter of attorney (the letter appoints an agent to do the Rep. Office set up) (2 originals) 
  
  
 Note 1: Parent company name should been translated to Chinese by meaning or pronunciation. For instance: 
 A U.S. company called: SLOMIN International Co., Ltd. could be translated to Chinese. 
  
 Note 2: 
 ONLY Item 3, 4, 8 needs to be provided by the parent company for the initial document preparation, the rest documents can be prepared with the help of Dada Company in Guangzhou. 
  
 Parent Company’s Owner is Letter of Authorization; the rest legal document could be signed by the appointed person in China. 
 Post- registration procedures 
  
 01 Apply for online registration 
 02 Apply for business registration 
 03 Apply for the Representative Office's chop (Office Seal) 
 04 Apply for the Enterprise Code License and approval of certificate 
 05 Register in China Statistical Bureau 
 06 Arrange the bank account certificate and Certificate of Foreign Exchange 
 07 Register in China Taxes Bureau 
 08 Obtain Health Certificate for the Chief Representative (if applicable) 
 09 Application for the Working Permit for the Chief Representative (if applicable) 
 10 Application for the Residence permit for Chief Representative (if applicable).
